1. Scope of Activities
 

Greenstone Initiatives provides consulting and business development services to its clients. Our role involves:
 

• Advising clients on business strategy, growth opportunities, and market positioning.

• Introducing potential investors or strategic partners to our clients for further discussions.
   

Critically, Greenstone’s role is non-transactional and Greenstone does not:
 

• Negotiate the price, terms, or structure of securities transactions.

• Execute or effectuate the purchase, sale, or exchange of securities.

• Handle investor funds or have the authority to bind either party in an investment transaction.
   

2. No Involvement in Securities Transactions
 

All activities relating to the offering, negotiation, and sale of securities are handled directly by the executives of the companies we represent. Greenstone Initiatives operates strictly in an advisory capacity and ensures that:
 

• All investor interactions regarding terms of investment are conducted solely by the client company.

• Greenstone is not involved in setting the terms or closing transactions.
   

3. Compensation Structure
 

While Greenstone’s compensation may sometimes be tied to the success of a transaction, this arrangement reflects a form of performance-based consulting and not broker-dealer activity:
 

• Compensation is tied to the results of consulting efforts, including the facilitation of strategic connections and the advisory work leading up to a transaction.

• Success-based compensation is a widely accepted business practice in other professional contexts (e.g., investment banking advisory, mergers and acquisitions consulting), provided it does not involve direct transactional activity.

• The fact that Greenstone does not participate in transactional negotiations or closings further distinguishes its role from that of a broker-dealer.
   

4. Clear Boundaries and Documentation
 

Greenstone Initiatives maintains clear boundaries to avoid the appearance of engaging in broker-dealer activities:
 

• Written agreements with clients clearly outline the scope of our role and specify that Greenstone Initiatives does not act as a broker-dealer or engage in securities transactions.

• All introductions and consulting efforts are documented as part of the services provided, with no involvement in transactional negotiations or closings.
   

5. Alignment with Regulatory Standards
 

Greenstone has reviewed its business practices with securities law standards to ensure compliance. Specifically:
 

• We act purely as a connector and advisor, avoiding activities like solicitation, negotiation, or transaction execution that would require broker-dealer registration.

• Our activities align with the SEC's guidance on what constitutes "effecting securities transactions," ensuring we remain within the legal boundaries.​
   

6. No Financial Advice and Investor Responsibility
 

Greenstone expressly disclaims any responsibility for providing financial, investment, legal, or tax advice. Greenstone does not make recommendations regarding the purchase, sale, or holding of any securities, tokens, or other financial instruments.
 

Any individual or entity considering an investment or token purchase referred to by or referred by Greenstone does so with the understanding that:
 

1. They are an accredited investor or otherwise qualified to participate under applicable securities or financial regulations.

2. All decisions to invest or purchase are made entirely at their own risk, based on their independent judgment and after conducting any necessary due diligence.

3. They acknowledge and understand the risks involved, including the potential loss of all or part of their investment.
